1. Acceptance of Terms

By using the Raresoul platform, you agree to:

  • These Terms & Conditions
  • Privacy Policy
  • IP & Content Guidelines

2. Platform Role (CRITICAL CLAUSE)

We act as a technology intermediary marketplace, not the owner of listed artworks.

We:

  • Do NOT create, verify, or guarantee originality
  • Do NOT assume liability for disputes between users

3. Artist Responsibilities (VERY IMPORTANT)

Artists explicitly warrant that:

  • They own full rights to the artwork
  • The work is original and not infringing
  • They have rights to sell/distribute it

Strict Liability Clause: The artist bears full legal responsibility for any copyright, trademark, or IP violations.

4. Buyer Responsibilities

Buyers agree:

  • Not to reproduce, resell, or exploit artwork without permission
  • To respect artist copyrights

5. Intellectual Property

Ownership

  • Artists retain 100% ownership
  • Platform gets a limited license to:
    • Display
    • Promote
    • Market the artwork

Platform Protection Clause

Platform is not liable for unauthorized copying, redistribution, or external misuse of artwork.

6. Prohibited Content

Users must NOT upload:

  • Stolen or plagiarized art
  • AI-generated art without disclosure (if applicable)
  • Offensive/illegal content
  • Trademark-infringing work

7. Copyright Infringement & Takedown

We follow a notice-and-takedown policy. If reported:

  • Content may be removed immediately
  • Account may be suspended
  • Repeat offenders will be banned

8. Payments & Transactions

  • Platform may charge commission
  • Payments handled via third-party providers
  • We are not liable for payment failures or delays

9. Limitation of Liability (VERY STRONG)

To the maximum extent permitted by law, the platform shall NOT be liable for:

  • Copyright violations by users
  • Loss of profits or data
  • Disputes between buyers and sellers
  • Unauthorized use of artwork outside the platform

10. Indemnification (CRITICAL)

Users agree to indemnify and hold the platform harmless from any claims, damages, or legal actions arising from:

  • Uploaded content
  • Copyright violations
  • Misuse of the platform

11. Account Suspension

We reserve the right to:

  • Remove content
  • Suspend or terminate accounts
  • Take legal action if required

12. Governing Law

  • Jurisdiction: India
  • Disputes resolved via arbitration/legal courts
